Overview

Investors who purchased GigaCloud Technology Inc. stock during its initial public offering in August 2022 and the following year may be eligible for compensation through a recently settled securities class action. The lawsuit alleges that GigaCloud and several company insiders, including CEO Larry Lei Wu and other executives, made false or misleading statements about the company in connection with its August 2022 IPO and continued to misrepresent material facts through September 27, 2023. The defendants are also accused of failing to disclose important information that would have affected investors’ decisions. Additionally, the underwriting firm Aegis Capital Corp.

The litigation began when investor Thomas J. Kinnally filed a complaint in California federal court in 2023, followed by a similar action from investor Rock Villanueva. Both cases were transferred to the United States District Court for the Southern District of New York and consolidated into a single proceeding. On January 11, 2024, the court appointed Sashi Rajan and Meir Spear as co-lead plaintiffs to represent the class of affected investors. The case now proceeds under case number 1:23-cv-10645-JMF.

The parties have reached a settlement agreement subject to court approval. Class members who purchased GigaCloud shares during the relevant period and held them through the disclosure of the alleged misstatements are potentially eligible to participate. Investors have several options available to them. They may take no action and await further developments in the case. If the settlement receives final court approval, eligible investors will likely need to submit a claim to receive compensation.
