Overview
A federal securities class action against WM Technology, Inc. and several company executives has reached a settlement agreement. The lawsuit, filed in the Central District of California, alleges that the defendants violated federal securities laws by making misleading statements to investors. The case began when Seret Ishak filed the initial complaint on October 17, 2024, naming WM Technology and eight company officials as defendants. The allegations center on violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934.
Jay Kang was later appointed as lead plaintiff in the case. An amended complaint was filed on May 12, 2025. The remaining defendants, WM Technology, Christopher Beals, Arden Lee, Scott Gordon, William Healy, and Gregory M. The parties engaged in mediation efforts while motions to dismiss were pending.
On February 12, 2026, the parties reached a settlement in principle following an in-person mediation session in New York City. The defendants have maintained their denial of any wrongdoing or liability throughout the proceedings. The settlement was memorialized in a stipulation dated May 14, 2026, which resolves all claims with prejudice. Class members who purchased WM Technology securities during the relevant period may be eligible for compensation under the settlement. Those affected can submit a claim to participate in the settlement fund, opt out of the class action entirely, or object to the settlement terms.
