Overview
Investors who purchased common stock in Driven Brands Holdings Inc. between October 27, 2021 and August 1, 2023 may be eligible to receive compensation from a proposed $25 million settlement. The lawsuit, filed in the United States District Court for the Western District of North Carolina, was brought by the Genesee County Employees’ Retirement System and Oakland County pension funds on behalf of shareholders who claim they suffered losses due to the company’s misconduct. The case centers on allegations that Driven Brands and two former executives—former Chief Executive Officer Jonathan G. Fitzpatrick and former Chief Financial Officer Tiffany L.
Mason—made false and misleading statements to investors. Specifically, the plaintiffs contend that the defendants misrepresented the company’s efforts to build a nationwide auto-glass business through acquisitions and integration, as well as overstated operational performance and customer retention in its car wash division. These alleged misstatements occurred throughout the Class Period, causing investors to purchase stock at artificially inflated prices. If approved by the court, the $25 million settlement will be distributed to eligible class members after deducting court-approved attorney fees, litigation expenses, administrative costs, and taxes. The estimated average recovery per share is approximately $0.
42, though individual recoveries will vary based on when and at what price each investor bought or sold their shares. To participate in the settlement, class members must submit a completed Proof of Claim and Release Form by July 6, 2026, either by mail or online at the settlement website. Those who do nothing will not receive compensation but will still be bound by the settlement’s terms. Alternatively, class members may opt out of the settlement to pursue their own claims, or they may object to the settlement before the court’s final approval hearing.
